Setting Up a Representative Office in Singapore
A Singapore Pte. Ltd. company has an obligation to comply with the Singapore Statutory Regulations (Companies' Acts and IRAS Tax filling) which means that there is fixed yearly maintenance costs, where as a Representative Office in Singapore has no legal status in Singapore and is not required to maintain accounts or file tax returns in Singapore.
For foreign companies, setting up a Singapore Representative Office in Singapore serves the following:
- To explore the viability of doing business in Singapore and to test the business environment before committing to any investment decisions.
- To use Singapore as a launch pad into Asia Pacific Regions.
- For marketing and promotional activites on behalf of the Parent Company in Singapore.
Please note that the Representative Office in not permitted to engage in commercial activities or to provide any services for a fee. Foreign companies who wish to commence business activities in Singapore will be required to incorporate a Singapore Company.
Application Procedure
In order to apply for the Singapore Representative Office approval, an application has to be completed and you will also need to have a local agent/representative. (This can be a local Singaporean or a Singaporean PR or a foreigner with a Singapore Employment Pass). In addition, we require the following documents:
- A copy of the Parent Company's Certificate of Incorporation
- The Parent Company's latest annual report and audited accounts
- A set of the Company's brochures
- Approval can take 2 to 3 weeks and is usually valid for one year. After the registration of representative office, the foreign company can apply for employment pass for your overseas personnel to be stationed in Singapore and/or hire local staff to handle Rep Office employees.
Our Fees
- Registration of a Singapore Representative Office - S$1,500.00 excluding disbursements
- Provision of a Local Agent for one year at S$500 per month is S$6,000.00. There is also a refundable deposit of S$1,000.00
